Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Basecamp ("Company," "we," "us," or "our") governing your access to and use of the Basecamp platform, including our website, applications, and related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Description of Service

Basecamp is an AI-powered automation platform for the construction industry that provides:

  • AI-powered desktop automation agent ("Autopilot") with vision-based screen understanding and device control
  • Vision-powered workflow recording and playback — users record workflows and the AI learns to replicate them
  • Cross-application task automation across third-party desktop applications (including but not limited to Procore, Sage, ADP, QuickBooks, and similar software)
  • Knowledge Center — AI-powered search across connected files (Google Drive, OneDrive) via cloud storage integration
  • AI-powered safety compliance management, scoring, and gap analysis
  • Safety program generation and standard operating procedure (SOP) template library
  • Regulatory reference and safety knowledge base
  • Insurance policy management, EMR tracking, and premium modeling
  • Predictive safety analytics and incident pattern detection
  • Token-based pay-as-you-go billing for automation usage

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

3. User Accounts

3.1 Account Registration

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

3.2 Account Types

The Service offers different account types including Worker accounts and Employer accounts. Each account type has specific features, permissions, and responsibilities. You agree to use your account only for its intended purpose.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason at our sole discretion.

4. Subscription and Payment Terms

4.1 Subscription Plans

Certain features of the Service require a paid subscription. By subscribing, you agree to pay all applicable fees as described at the time of purchase.

4.2 Payment Processing

All payments are processed securely through Stripe. By providing payment information, you:

  • Authorize us to charge your payment method for all fees
  • Agree to Stripe's terms of service and privacy policy
  • Represent that you have the legal right to use the payment method

4.3 Billing and Renewals

Subscriptions automatically renew unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings.

4.4 Refunds

Refunds are provided at our sole discretion. Generally, subscription fees are non-refundable except as required by law.

5. Acceptable Use Policy

You agree NOT to:

  • Use the Service for any unlawful purpose or in violation of any laws
  • Post false, misleading, or fraudulent job listings or applications
  • Impersonate any person or entity
  • Harass, abuse, or harm other users
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service or other systems
  • Interfere with or disrupt the Service or servers
  • Scrape, crawl, or harvest data from the Service without permission
  • Use automated means to access the Service except as permitted
  • Violate the intellectual property rights of others
  • Discriminate against any individual based on protected characteristics
  • Post content that is defamatory, obscene, or offensive
  • Use the automation agent to violate the terms of service of any third-party application
  • Use the automation agent to perform unauthorized access to systems, networks, or accounts
  • Use the automation agent to automate malicious, fraudulent, or deceptive activities
  • Use the automation agent to circumvent security controls, access restrictions, or authentication mechanisms in any application

6. User Content

6.1 Your Content

You retain ownership of content you upload to the Service ("User Content"). By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, and display your content as necessary to provide the Service.

6.2 Content Responsibility

You are solely responsible for your User Content. You represent that:

  • You own or have the right to use and share the content
  • The content does not violate any laws or third-party rights
  • The content is accurate and not misleading

6.3 Content Removal

We may remove any User Content that violates these Terms or that we find objectionable, without prior notice.

7. AI and Machine Learning Usage

By using the Service, you acknowledge and agree:

  • Third-Party AI Providers: We use third-party AI models from providers including Anthropic (Claude) and Google (Gemini) to power our platform. Your data — including screenshots, documents, workflow recordings, and business information — is sent to these providers for processing. We do not control what these providers do with your data once it reaches their systems. Each provider has their own terms of service and privacy policy governing how they handle data. It is your responsibility to review and accept those terms. We select providers whose policies align with commercial data protection, but we make no guarantees about their data handling practices.
  • AI-Powered Features: Many features of the Service are powered by artificial intelligence, including desktop automation, workflow execution, knowledge search, safety compliance scoring, and document generation. AI-generated results may not always be accurate or complete.
  • No Guarantee of Outcomes: AI-powered recommendations and matching are provided as tools to assist decision-making. We do not guarantee any specific automation outcomes, accuracy of executed workflows, or results.
  • Human Oversight: You are responsible for reviewing and verifying AI-generated content and recommendations before acting on them.

7A. Safety and Compliance Features

IMPORTANT — READ CAREFULLY: Basecamp provides AI-powered safety compliance tools as a convenience and reference aid ONLY. By using any safety-related features of the Service, you acknowledge and agree to the following:

  • Not a Substitute for Professionals: AI-generated safety programs, standard operating procedures (SOPs), compliance scores, gap analyses, hazard assessments, and recommendations are NOT a substitute for consultation with certified safety professionals, including but not limited to Certified Safety Professionals (CSP), Canadian Registered Safety Professionals (CRSP), or professionals with equivalent credentials.
  • No Legal or Professional Advice: Basecamp does NOT provide legal advice, regulatory compliance certification, or professional safety consulting services. Nothing in the Service constitutes professional safety advice.
  • AI Limitations: Compliance scores, gap analyses, safety recommendations, and AI-generated content are computer-estimated and may contain errors, omissions, or outdated information. AI systems can generate inaccurate information, including incorrect regulatory citations.
  • Your Responsibility: You are solely responsible for ensuring your workplace complies with all applicable federal, provincial/state, and local safety and health regulations. You must independently verify all safety-related information before relying on it.
  • Professional Review Required: All AI-generated safety content — including safety programs, SOPs, checklists, and hazard assessments — must be reviewed and approved by a qualified safety professional before implementation in any workplace.
  • No Liability for Safety Outcomes: Basecamp is NOT liable for workplace injuries, illnesses, fatalities, regulatory violations, fines, penalties, or any other consequences arising from reliance on AI-generated safety content.
  • Does Not Replace Safety Professionals: The Service does not replace the need for competent, certified safety professionals in your organization. You should maintain qualified safety personnel appropriate to your industry and operations.
  • Industry Intelligence: When the Service provides industry benchmarks, peer comparisons, or adoption rates, these are based on anonymized aggregate data and may not accurately reflect requirements specific to your operations, jurisdiction, or workplace conditions.

7B. Insurance and Financial Features

IMPORTANT — READ CAREFULLY: Basecamp provides insurance management, Experience Modification Rate (EMR) tracking, and premium modeling tools as informational aids ONLY. By using any insurance-related features of the Service, you acknowledge and agree:

  • Not Actuarial or Insurance Advice: EMR calculations, premium estimates, and insurance analytics provided by the Service are NOT actuarial advice and are NOT a substitute for consultation with licensed insurance brokers, actuaries, or financial professionals.
  • Estimates Only: EMR calculations and premium models are computer-generated estimates that may differ from official values calculated by insurance carriers, rating bureaus (such as NCCI), or provincial workers' compensation boards. You must verify all figures with your insurance provider.
  • No Insurance Recommendations: The Service does NOT recommend specific insurance products, coverage levels, or carriers. Nothing in the Service constitutes an insurance recommendation or financial advice.
  • Your Responsibility: You are solely responsible for all insurance coverage decisions, policy selections, and claims management. You must independently verify all insurance-related information before relying on it.
  • No Liability: Basecamp is NOT liable for inadequate insurance coverage, denied claims, premium increases, or any financial consequences arising from reliance on insurance-related features of the Service.

7C. Predictive Safety Analytics

IMPORTANT — READ CAREFULLY: Basecamp provides predictive safety analytics, including incident pattern detection and safety forecasts, as informational tools ONLY. By using any predictive analytics features, you acknowledge and agree:

  • Statistical Estimates: Safety forecasts and incident predictions are statistical estimates based on historical data. They are NOT guarantees, prophecies, or definitive assessments of future risk.
  • Not a Replacement for Risk Assessment: Predictive analytics do NOT replace professional risk assessments, workplace inspections, or safety audits conducted by qualified professionals.
  • Past Performance: Historical patterns and trends do NOT guarantee future outcomes. Workplace conditions, personnel, and circumstances change continuously.
  • No Liability for Predictions: Basecamp is NOT liable for workplace incidents that occur despite favorable forecasts, or for unnecessary actions taken in response to unfavorable forecasts. You must exercise independent judgment in all safety decisions.
  • Data Quality: The accuracy of predictions depends on the quality, completeness, and recency of the data you provide. Incomplete or inaccurate data will produce unreliable predictions.

7D. Desktop Agent & Device Access

IMPORTANT — READ CAREFULLY: The Basecamp Autopilot desktop agent operates by capturing screenshots of your screen, processing visual information with AI, and controlling your mouse and keyboard to execute automated workflows. By installing and using the desktop agent, you explicitly acknowledge and agree to the following:

  • Consent to Device Access: You explicitly consent to the Autopilot agent (a) capturing screenshots of your screen, (b) controlling your mouse and keyboard inputs, (c) reading and interpreting screen content using AI vision processing, and (d) interacting with applications installed on your device. This consent is granted each time you initiate an automation or workflow recording session.
  • Scope of Access: The desktop agent operates only when actively running automations or recording workflows that you have initiated. The agent does not run in background surveillance mode, does not capture screenshots when idle, and does not monitor your activity outside of active automation sessions.
  • Third-Party Application Interaction: The agent interacts with third-party applications (including but not limited to Procore, Sage, ADP, QuickBooks, and other software) on your behalf and at your direction. You are solely responsible for ensuring that (a) you have proper authorization to automate those applications, (b) your use of automation does not violate those applications' terms of service, license agreements, or acceptable use policies, and (c) you have any necessary approvals from your organization or the application provider to use automated tools.
  • Data Captured During Automation: During automation sessions, screenshots, UI element data, text content visible on screen, and application state information may be captured and processed by AI systems to understand and execute workflows. Sensitive data — including but not limited to passwords, financial information, personal employee data, health records, or confidential business information — that is visible on your screen may be incidentally captured during automation.
  • User Responsibility: You are solely responsible for (a) ensuring that no unauthorized, confidential, or sensitive data is unnecessarily visible on your screen during automation sessions, (b) reviewing and verifying all actions taken by the agent, (c) all consequences of actions the agent takes on your behalf, including data entry, button clicks, form submissions, file modifications, and transactions, and (d) maintaining appropriate backups of any data that may be affected by automated workflows.
  • No Liability for Automated Actions: Basecamp is NOT liable for any errors, data loss, incorrect data entries, deleted records, unintended transactions, or other consequences arising from actions performed by the automated agent. The agent operates based on AI interpretation of visual screen content and may misinterpret UI elements, click incorrect buttons, enter incorrect data, or take unintended actions.
  • Credential Handling: The desktop agent does NOT store, retain, or manage your third-party application credentials, passwords, or authentication tokens. You are responsible for handling your own authentication with third-party applications. If credentials are visible on screen during an automation session, they may be incidentally captured in screenshots processed by the AI but are not intentionally stored or extracted.
  • Workflow Recording: When you use the workflow recording feature, the agent captures your screen interactions to learn and replicate workflows. Recorded workflows may contain screenshots and interaction data from the recording session. You are responsible for ensuring that recorded workflows do not contain sensitive information that should not be stored.
  • Full Device Access: To be clear — the Autopilot agent has access to everything visible on your screen and everything accessible through your desktop applications. This includes your files, email, financial software, project management tools, and any other application you have open or that the agent navigates to during an automation. The agent can see what you see, click what you can click, and type what you can type. This level of access is necessary for cross-application automation to function.
  • Cloud File Access: When you connect your organization's OneDrive, Google Drive, or other cloud storage to the Knowledge Center, we index and search the files in your connected storage. This means we process the contents of your organization's shared files to provide AI-powered search. Files are indexed into our vector database (Pinecone) and can be searched by authorized members of your organization.

7E. Proprietary Datasets & Industry Benchmarks

IMPORTANT — READ CAREFULLY: Basecamp builds proprietary industry datasets to power benchmarking, compliance scoring, and predictive features across the platform. By using the Service, you acknowledge and agree:

  • What We Collect: We collect anonymized and aggregated financial, operational, and safety data from organizations using the platform. This includes cost structures, labor rates, project timelines, compliance patterns, incident rates, insurance metrics, and workflow efficiency data.
  • How We Use It: This aggregated data is used to build proprietary benchmarks and datasets that power features like compliance scoring, industry comparisons, predictive analytics, and recommendations across the platform. These datasets are a core part of our Service.
  • No Direct Data: Your organization's identifiable data is NEVER included in proprietary datasets. All data is anonymized and aggregated before inclusion. No individual company, project, or person can be identified from our benchmark datasets.
  • Third-Party AI Providers: Your data is sent to third-party AI providers (Anthropic, Google) for processing as part of the Service. What those providers do with your data is governed by their own terms and privacy policies, not ours (see Section 7).
  • Financial Data: We specifically use anonymized financial data (labor costs, project budgets, insurance premiums, EMR rates) to build construction industry benchmarks. This benefits all platform users through more accurate scoring and recommendations.
  • Opt-Out: You may opt out of having your anonymized data included in proprietary datasets by contacting us at legal@gobasecamp.ai. Opting out may limit the accuracy of benchmarking and comparison features for your organization.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We specifically disclaim all warranties including, but not limited to:

  • Implied warranties of merchantability and fitness for a particular purpose
  • Warranties that the Service will be uninterrupted, secure, or error-free
  • Warranties regarding the accuracy, reliability, or completeness of any information
  • Warranties regarding the accuracy of AI-generated content or recommendations
  • Warranties regarding the accuracy of AI-generated safety programs, compliance scores, regulatory guidance, or hazard assessments
  • Warranties regarding the accuracy of EMR calculations, insurance premium estimates, or financial projections
  • Warranties regarding the accuracy of predictive safety analytics, incident forecasts, or pattern detection
  • Warranties regarding the accuracy of automated actions performed by the desktop agent, including mouse clicks, keyboard inputs, data entry, or any other interactions with applications
  • Warranties regarding continued compatibility with third-party applications — applications may change their user interfaces, workflows, or APIs at any time, which may cause automations to fail or behave unexpectedly
  • Warranties regarding the integrity or correctness of data processed, entered, or modified during automated workflows

IMPORTANT: Basecamp is a platform that facilitates connections between employers and workers. We do not guarantee:

  • The accuracy of information provided by users (job listings, resumes, profiles)
  • The quality, safety, or legality of jobs listed on the platform
  • The qualifications or suitability of any candidate or employer
  • Successful hiring outcomes or job placements
  • The accuracy of AI-powered search results, matching, or recommendations

You use the Service at your own risk and are solely responsible for verifying the accuracy of information and conducting appropriate due diligence.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BASECAMP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Any loss of profits, revenue, data, or business opportunities
  • Any damages arising from your use or inability to use the Service
  • Any damages arising from information provided by other users
  • Any damages arising from employment decisions or hiring outcomes
  • Any damages arising from AI-generated content, recommendations, or errors
  • Any damages arising from workplace safety decisions, programs, or procedures based on AI-generated content
  • Any workplace injuries, illnesses, fatalities, or regulatory penalties resulting from reliance on the Service
  • Any financial losses arising from insurance decisions, EMR calculations, or premium estimates based on the Service
  • Any damages arising from predictive analytics, safety forecasts, or incident pattern predictions
  • Any damages arising from third-party services, including payment processing
  • Any damages arising from automated actions performed by the desktop agent, including incorrect data entry, deleted records, unintended transactions, or erroneous interactions with applications
  • Any damages arising from third-party application changes, updates, or redesigns that cause automations to fail or behave unexpectedly
  • Any damages arising from screen data captured, processed, or stored during automation sessions, including incidental capture of sensitive or confidential information

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Basecamp and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your User Content
  • Your violation of any third-party rights
  • Any employment-related disputes or claims
  • Any disputes with third-party application providers arising from your use of automation features, including claims that automation violates their terms of service or acceptable use policies
  • Any claims arising from actions taken by the desktop agent on your behalf, including incorrect data entry, unauthorized transactions, or unintended modifications to data or systems

11. Intellectual Property

11.1 Our Intellectual Property

The Service, including all content, features, and functionality, is owned by Basecamp and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

11.2 Trademarks

"Basecamp" and our logo are trademarks of Basecamp. You may not use our trademarks without prior written permission.

11.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service become our property, and we may use them without compensation or attribution to you.

12. Third-Party Services

The Service may integrate with or contain links to third-party services (e.g., Stripe for payments, Google/LinkedIn for authentication). These services are governed by their own terms and privacy policies. We are not responsible for the content, accuracy, or practices of third-party services.

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

Before filing any legal claim, you agree to attempt to resolve disputes informally by contacting us at legal@gobasecamp.ai. We will attempt to resolve the dispute within 30 days.

13.2 Arbitration Agreement

If informal resolution fails, you agree that any dispute arising from these Terms or the Service shall be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if they qualify.

13.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS, AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING.

13.4 Opt-Out

You may opt out of this arbitration agreement by sending written notice to legal@gobasecamp.ai within 30 days of first accepting these Terms.

14. General Provisions

14.1 Governing Law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law provisions.

14.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision.

14.4 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Basecamp regarding the Service.

14.5 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

14.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or service provider failures.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
